The terms that govern your use of mainstreetlending.com and any inquiry you submit to us.
Draft. These terms are a working draft and are pending review by counsel before launch. They should not be treated as final, binding terms until that review is complete.

Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of the website operated by Main Street Lending LLC ("Main Street Lending", "we", "us") at mainstreetlending.com (the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
Who we are and what we do
Main Street Lending is a direct small business lender. We underwrite, approve, and fund commercial financing — term loans, lines of credit, equipment financing, SBA loans, and invoice factoring — from our own balance sheet. We are not an investment advisor and not a law or tax firm.
All financing products referenced on the Site are for business and commercial purposes only. We do not originate consumer credit of any kind.
Main Street Lending is not a bank, savings association, credit union, or depository institution; we do not accept deposits, and our financing products are not FDIC-insured.
Eligibility
You must be at least 18 years old, located in the United States, and authorized to conduct business on behalf of the business you are inquiring about in order to use the Site or submit a request through it.
No offer or guarantee
Information on the Site is provided for general informational purposes. Nothing on the Site constitutes a commitment to lend, an offer of credit, or a recommendation of any specific financing product, financial decision, or course of action. All offers are subject to Main Street Lending's underwriting and credit approval. Amounts, rates, fees, and terms vary based on a number of factors and are not guaranteed.
Information you submit
You agree that any information you submit to us through the Site, by phone, by email, or otherwise is true, accurate, and complete to the best of your knowledge, and that you are authorized to submit it. We may verify the information you provide and decline to assist any business at our discretion.
Compensation
Main Street Lending earns the interest and fees on the loans we make. We are not paid a referral fee or commission by a third party for the financing we extend. The all-in cost of the financing is disclosed in the offer letter and loan documents you review and sign.
Loan documents
If you accept a Main Street Lending offer, your loan, line of credit, or factoring facility is governed by the agreements you sign with Main Street Lending directly. Those agreements, not these Terms, control the financing relationship.
SMS messaging program
Program name and sender identity. The SMS messaging program described here is operated by Main Street Lending. All messages sent under this program are identified as being from Main Street Lending.
Program purpose and message types. Main Street Lending sends transactional SMS messages related to your loan inquiry and application: identity verification codes, document requests, status updates from your loan officer or underwriter, scheduled callbacks, signing reminders, and direct one-to-one conversations with the team handling your file.
Frequency. Message frequency varies based on the stage of your application.
Cost. Message and data rates may apply. SMS messages sent by Main Street Lending are free; standard carrier message and data rates set by your mobile provider may apply.
Opt-out. Reply STOP to any message to opt out at any time. You will receive one confirmation message and no further messages from that program will be sent.
Help and support. Reply HELP for support, or contact us at ryan@mainstreetlending.net or by phone.
Supported carriers. Supported on all major US carriers: AT&T, T-Mobile, Verizon, US Cellular, and others. Carrier support is not a guarantee of message delivery.
Eligibility. You must be 18 or older and the authorized account holder of the mobile number you enroll.
Consent. By providing your mobile number and checking the SMS consent box on our contact form, you consent to receive SMS messages from Main Street Lending as described above. Consent is not required to obtain a loan, and your loan application will not be denied based on whether you opt in to SMS.
Privacy. Mobile opt-in data and consent are not shared with any third parties or affiliates for marketing or promotional purposes. See our privacy policy at /privacy, including the section titled "Mobile opt-in data and SMS consent", for the full description of how we handle mobile data.
Intellectual property
The Site, including its text, graphics, logos, images, and underlying code, is owned by Main Street Lending or its licensors and is protected by intellectual property laws. You may view and print pages of the Site for your own non-commercial use. You may not otherwise copy, modify, distribute, or create derivative works from the Site without our prior written consent.
Acceptable use
You agree not to use the Site to violate any law or regulation, infringe any intellectual property right, transmit any malicious code, attempt to interfere with the operation or security of the Site, scrape or harvest content, or submit information that is false, misleading, or fraudulent.
Disclaimer of warranties
The Site is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, secure, error free, or that any information on the Site is current, accurate, or complete.
Limitation of liability
To the fullest extent permitted by law, in no event will Main Street Lending, its affiliates, or its officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim arising out of or related to the Site will not exceed one hundred United States dollars (US$100).
Indemnification
You agree to indemnify, defend, and hold harmless Main Street Lending and its affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or right of any third party.
Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles.
Binding arbitration and class action waiver
READ CAREFULLY. Except for the carve-outs below, you and Main Street Lending agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site will be resolved exclusively through final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, if the parties agree, the American Arbitration Association under its Commercial Arbitration Rules). The arbitration will be conducted in New York County, New York, unless the parties agree to a different venue. The arbitrator's decision may be entered as a judgment in any court of competent jurisdiction.
CLASS ACTION WAIVER. You and Main Street Lending each waive the right to bring or participate in any class action, collective action, mass action, private attorney general action, or other representative proceeding, whether in arbitration or in court. Disputes must be brought in an individual capacity only. The arbitrator may not consolidate the claims of more than one person, and may not preside over any form of representative or class proceeding.
Carve-outs. Either party may bring an individual action in a court of competent jurisdiction in small-claims court for matters within that court's jurisdiction; or to seek temporary or preliminary injunctive relief, including to protect intellectual property, trade secrets, or confidential information. Filing an action in small-claims court or seeking injunctive relief does not constitute a waiver of arbitration for any other claim.
Opt-out. You may opt out of this arbitration agreement by sending written notice of your intent to opt out to ryan@mainstreetlending.net within thirty (30) days after your first use of the Site. Your notice must include your full name, postal address, and a clear statement that you wish to opt out of the arbitration agreement. Opting out of arbitration does not affect any other provision of these Terms.
Changes
We may update these Terms from time to time. The version posted on the Site is the current version, and the effective date is shown below. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
